Terms of Service

Effective Date: September 15, 2026 · Last Updated: September 13, 2026

These Terms of Service (“Terms”) govern access to and use of Cleaning System, including our websites, software applications, dashboards, booking tools, scheduling tools, payment integrations, customer portals, cleaner portals, and related services (collectively, the “Platform”). Cleaning System is operated by AOS Cleaning LLC, an Arizona corporation LLC, (“Cleaning System,” “we,” “us,” or “our”). By creating an account, starting a trial, purchasing a subscription, accessing the Platform, or otherwise using our services, you agree to these Terms. If you are using the Platform on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Platform.

1. ABOUT CLEANING SYSTEM

Cleaning System provides software designed to help independent cleaning businesses manage their operations. Depending on your subscription plan and available features, the Platform may provide tools for: customer relationship management; scheduling and calendars; job management; recurring cleaning services; employee and contractor coordination; cleaner job assignments; cleaning checklists; online customer booking; customer portals; payment processing integrations; deposits and refunds; business reporting; customer communications; issue and dispute tracking; audit histories; and other business-management functions. Cleaning System is a software provider. We are not a cleaning company, employer, staffing company, franchise, broker, payment processor, bank, insurance provider, or professional adviser. We do not perform cleaning services and are not a party to the cleaning-service agreement between a cleaning business using the Platform (“Business User”) and that Business User’s customer.

2. ELIGIBILITY AND BUSINESS ACCOUNTS

You must be at least 18 years old and legally capable of entering into a binding contract to create an account. Business Users must provide accurate and current information when registering and must keep their account information current. You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account by authorized users. You must promptly notify us if you reasonably believe that your account has been compromised.

3. ORGANIZATION ACCOUNTS AND AUTHORIZED USERS

Each Business User operates within its own organization workspace. Business Users may authorize owners, administrators, employees, contractors, cleaners, or other team members to access portions of the Platform. The Business User is responsible for: deciding who receives access; assigning appropriate permissions; removing access when no longer appropriate; ensuring its authorized users comply with these Terms; and activity performed through its organization account. Different user roles may have different permissions. Cleaning System may implement technical controls designed to prevent users from accessing information outside their authorized organization or role.

4. FREE TRIALS

We may offer free trials. Unless otherwise stated at signup, the standard trial period is 14 days. A payment card may not be required to begin a trial. Trial terms, features, duration, and eligibility may change for future users. A Business User may not repeatedly create accounts or organizations for the purpose of obtaining additional unauthorized free trials. At the end of a trial, continued access may require a paid subscription. If no valid subscription is established, the account may enter restricted mode. We will not intentionally delete Business User data merely because a trial expires, subject to our retention policies and these Terms.

5. SUBSCRIPTION PLANS AND FEES

Cleaning System may offer monthly and annual subscription plans. Current prices and included features are displayed on our pricing or billing pages. Subscription fees are separate from payments that a Business User receives from its own cleaning customers. Unless otherwise stated: subscriptions renew automatically; monthly subscriptions renew monthly; annual subscriptions renew annually; and applicable charges are billed to the payment method associated with the Business User’s subscription. We may change prices or plan structures prospectively. Where required, existing subscribers will receive notice before a pricing change applies to a future billing period. Taxes may be added where legally required.

6. CANCELLING A CLEANING SYSTEM SUBSCRIPTION

Business Users may cancel their Cleaning System subscription through available account controls. Unless otherwise stated, cancellation takes effect at the end of the current paid billing period. The Business User may generally continue using paid features until that date. Amounts already paid are non-refundable except where: required by law; expressly stated otherwise; we determine that a refund is appropriate; or another written agreement provides otherwise. Cancellation of a Cleaning System subscription does not automatically cancel cleaning appointments or customer transactions belonging to the Business User.

7. FAILED SUBSCRIPTION PAYMENTS AND RESTRICTED ACCESS

If a Cleaning System subscription payment fails, we may provide a grace period. During a grace period, normal access may continue while the Business User updates its billing information. After the grace period, we may restrict creation or modification of operational records until billing is resolved. Restricted accounts may retain access to existing information and billing functions as determined by the Platform. We do not guarantee indefinite storage of information belonging to accounts that remain inactive, unpaid, terminated, or abandoned.

8. CLEANING SERVICES ARE PROVIDED BY BUSINESS USERS

Each Business User is solely responsible for the cleaning services it advertises, sells, schedules, performs, or arranges. This includes responsibility for: service descriptions; prices; estimates; taxes; customer agreements; cancellations; refunds; employees and contractors; wages and employment obligations; insurance; licenses and permits; background checks; customer property; property access; injuries; damages; service quality; complaints; legal compliance; and fulfillment of customer bookings. Cleaning System does not supervise cleaners or guarantee the quality, safety, legality, timing, or completion of cleaning services.

9. CUSTOMER BOOKINGS

The Platform may allow Business Users to provide organization-specific online booking pages. The Business User controls its own: services; pricing; availability; service areas; add-ons; booking rules; cancellation policies; and customer-facing business information. Cleaning System provides the technology used to facilitate bookings but does not become the provider of the underlying cleaning service. The Business User is responsible for ensuring its customer-facing information is accurate and lawful.

10. STRIPE AND CUSTOMER PAYMENTS

Cleaning System may allow Business Users to connect a payment account through Stripe Connect. Stripe is an independent third-party payment services provider. Business Users using Stripe services may be required to enter into agreements directly with Stripe and provide information required by Stripe for identity verification, regulatory compliance, payment processing, or other purposes. Cleaning System does not require Business Users to provide their Stripe secret keys or banking credentials directly to Cleaning System. When a Business User connects Stripe, the Business User authorizes Cleaning System to use the Stripe Connect services and related data to the extent reasonably necessary to provide Platform functionality, which may include: creating or facilitating customer payment transactions; displaying payment status; processing or initiating authorized refunds; retrieving connected-account status; synchronizing transaction information; receiving payment-related notifications; displaying disputes and payment information; and performing other payment-related actions expressly enabled through the Platform. Business Users authorize Cleaning System to share information with Stripe where reasonably necessary to provide these services. Cleaning System does not currently charge a percentage platform fee on cleaning-customer transactions unless expressly disclosed otherwise. Stripe or other payment providers may charge their own processing or other fees. Any Cleaning System platform fee introduced in the future will be disclosed as required before it applies. The Business User remains responsible for its customer transactions, refunds, disputes, chargebacks, taxes, and obligations to customers.

11. PAYMENT DISPUTES AND REFUNDS

The Platform may display information concerning payment disputes, refunds, failed payments, or other transaction events. Business Users remain responsible for responding to disputes and satisfying payment-provider requirements. Cancellation of a booking does not necessarily result in an automatic refund. Refunds are subject to the Business User’s policies, Platform configuration, payment-provider rules, and applicable law. Cleaning System may provide technology that allows authorized Business Users to initiate refunds but does not independently determine whether a customer is legally entitled to a refund.

12. CUSTOMER AND TEAM DATA

Business Users may upload or collect information relating to customers, employees, cleaners, contractors, properties, appointments, and business operations (“Business Data”). As between Cleaning System and the Business User, the Business User retains its rights in its Business Data. The Business User grants Cleaning System a limited right to host, process, transmit, back up, display, and otherwise use Business Data as reasonably necessary to: provide the Platform; maintain and secure the Platform; provide support; prevent fraud and abuse; comply with law; and perform other activities described in our Privacy Policy. The Business User represents that it has the rights and permissions necessary to provide Business Data to the Platform.

13. BUSINESS USER PRIVACY RESPONSIBILITIES

Business Users are independently responsible for complying with privacy, marketing, employment, consumer-protection, and data-protection laws applicable to their businesses. Where a Business User collects personal information from its customers, cleaners, employees, or contractors through Cleaning System, that Business User is responsible for providing legally required notices and obtaining legally required permissions. Business Users may not use Cleaning System to unlawfully collect, sell, disclose, monitor, or process personal information.

14. ACCEPTABLE USE

You may not use the Platform to: violate any law; commit fraud; impersonate another person or business; access another organization’s information without authorization; circumvent security controls; probe or exploit Platform vulnerabilities without authorization; upload malware or malicious code; interfere with Platform availability; scrape or systematically extract Platform data without permission; send unlawful spam; process fraudulent transactions; infringe intellectual-property rights; harass or threaten others; conduct illegal or prohibited business activity; or use the Platform in a manner that creates unreasonable security, operational, or legal risk. We may suspend or terminate access where reasonably necessary to protect users, customers, third parties, the Platform, or our legal interests.

15. INTELLECTUAL PROPERTY

Cleaning System and its software, interfaces, branding, designs, documentation, workflows, and related materials are owned by or licensed to us and are protected by applicable intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Platform for your internal business purposes during your authorized subscription or trial. You may not copy, sell, license, reverse engineer, distribute, or create unauthorized derivative works from the Platform except to the extent such restrictions are prohibited by law.

16. FEEDBACK

If you provide ideas, suggestions, feedback, or recommendations concerning Cleaning System, you authorize us to use that feedback without restriction or compensation, provided that doing so does not give us ownership of your underlying Business Data.

17. PRIVATE BETA AND EARLY ACCESS

Certain features or versions of Cleaning System may be offered as beta, preview, experimental, or early-access services. Beta features may contain defects, change substantially, or be discontinued. Participants should not rely on beta functionality where failure could create serious safety, legal, financial, or regulatory consequences. Complimentary beta access does not guarantee future free access.

18. THIRD-PARTY SERVICES

Cleaning System may integrate with third-party services such as Stripe and other technology providers. Your use of third-party services may be subject to separate agreements between you and those providers. We are not responsible for a third party’s independent services, availability, policies, acts, omissions, or changes.

19. PLATFORM AVAILABILITY

We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. The Platform may occasionally be unavailable because of: maintenance; software updates; infrastructure failures; third-party outages; security events; circumstances beyond our reasonable control; or emergency maintenance. We may modify, replace, improve, or discontinue Platform features from time to time.

20. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEANING SYSTEM IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES THAT MAY LEGALLY BE DISCLAIMED. WE DO NOT GUARANTEE THAT USE OF THE PLATFORM WILL INCREASE REVENUE, PRODUCE CUSTOMERS, PREVENT BUSINESS LOSSES, ENSURE LEGAL COMPLIANCE, OR PRODUCE ANY PARTICULAR BUSINESS RESULT.

21. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEANING SYSTEM AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF GOODWILL, OR LOSS OF DATA ARISING FROM OR RELATED TO THE PLATFORM. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO CLEANING SYSTEM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) US$100. Some jurisdictions do not permit certain limitations, so portions of this section may not apply to you.

22. INDEMNIFICATION

To the extent permitted by law, a Business User agrees to defend, indemnify, and hold harmless Cleaning System and its owners, affiliates, officers, employees, contractors, and agents from third-party claims, damages, losses, liabilities, and reasonable costs arising from or relating to: the Business User’s cleaning services; the Business User’s customer relationships; the Business User’s employees or contractors; Business Data supplied by the Business User; violation of these Terms; violation of law; or infringement or violation of another person’s rights.

23. SUSPENSION AND TERMINATION

We may suspend or terminate access where: subscription fees remain unpaid; these Terms are materially violated; use presents fraud, security, legal, or operational risk; required by law or a payment provider; or continued service is no longer reasonably practicable. Where appropriate, we may provide notice and an opportunity to remedy the issue. Termination does not eliminate obligations that accrued before termination.

24. DATA EXPORT AND DELETION

Business Users may have access to export functionality depending on available Platform features and subscription level. Following termination, we may retain information for a reasonable period for backup, fraud prevention, dispute resolution, legal compliance, security, accounting, or other legitimate purposes. Data handling is further described in our Privacy Policy.

25. CHANGES TO THESE TERMS

We may update these Terms. If a change is material, we will provide notice as reasonably appropriate, which may include email or an in-Platform notice. Continued use after updated Terms become effective constitutes acceptance where permitted by law.

26. GOVERNING LAW

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, unless applicable law requires otherwise. Any dispute not otherwise subject to a separately agreed dispute-resolution process will be brought in the state or federal courts located in Arizona, and the parties consent to the jurisdiction of those courts. LEGAL REVIEW NOTE: Counsel should specifically determine whether arbitration/class-action waiver provisions should be added before commercial launch.
